By accessing the Website and the Content, you represent that you are authorized to accept, or agrees to be bound, and abide by, these Terms of Use. If you do not agree to these Terms of Use, you must stop use of the Website and must not access the Content.

Access to Content
You are not permitted to access the Content unless you are a customer of Adaptive Aerospace or are authorised by Adaptive Aerospace to do so. Any Content accessed through the Website is provided by Adaptive Aerospace to you solely for use as a technical resource when installing, using, maintaining, and/or repairing any products or accessing and using any services made available to you by Adaptive Aerospace under a separate agreement (an "Agreement"). No other rights or licenses are granted to you in respect of the Content, including under these Terms of Use, except as provided in any Agreement.

Restrictions on use of Content
All Content remains the exclusive property of Adaptive Aerospace and its licensors. The Content contains Adaptive Aerospace's proprietary information and is protected by international copyright and intellectual property laws. You may not copy, rent, lease, sell, distribute, publish, display, modify or create derivative works of the Content unless specifically permitted in writing by Adaptive Aerospace (including under any Agreement). Without limiting the generality of the foregoing, you may not use the Content to: (i) design, develop, manufacture, maintain, repair or modify any goods or services in a manner not authorized in the Agreement or the Content; or (ii) install, use, maintain or repair any goods or services which were not originally manufactured or provided by Adaptive Aerospace. You may make tangible copies of the Content only as strictly necessary to carry out the activities described in these Terms of Use and any Agreement, and may make one electronic copy of the Content for archival backup purposes only, provided that all such copies include all copyright and other proprietary notices contained on the originals.

Termination of rights
Adaptive Aerospace may modify or withdraw the rights and permissions granted under these Terms of Use at any time at its sole discretion except as provided under any Agreement.

Upon any expiration or termination of any Agreement all licenses granted under these Terms of Use shall also terminate.

Confidentiality
The Content may include Adaptive Aerospace's confidential information. You agree to not disclose Adaptive Aerospace's confidential information to any third party without Adaptive Aerospace's prior written consent (including as provided under any Agreement). You shall take all appropriate steps to keep confidential any logins and passwords used to access the Content on the Website. You shall promptly inform Adaptive Aerospace of any use or disclosure of the Content or Adaptive Aerospace's confidential information in breach of these Terms of Use or any Agreement.

Trade marks
Adaptive Aerospace's name, logo, and all related names, logos, product and service names, designs and slogans are trade marks of Adaptive Aerospace or its licensors. You must not use any of the foregoing without the prior written permission of Adaptive Aerospace.

Disclaimer
Nothing in these Terms of Use shall constitute a warranty to you. You acknowledge that Adaptive Aerospace makes no commitment that the Content is complete, accurate, non-infringing, or fit for any purpose, expect as provided in any Agreement. Adaptive Aerospace will not be liable under these Terms of Use for any loss or damage arising from your use of the Website or any Content. Your use of the Website and any Content is at your own risk. The Website and the Content are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. Except as provided in any Agreement, Adaptive Aerospace does not represent or warrant that the Website or the Content will be accurate, reliable, error-free or uninterrupted, that defects will be corrected, that the Website or the server that makes it available are free of viruses or other harmful components or that the Website or any Content will otherwise meet your needs or expectations.

Limitation of liability
Except as provided in any Agreement, in no event will Adaptive Aerospace be liable to you or any third party for damages of any nature, whether indirect, incidental, consequential, special, exemplary, punitive or enhanced damages, or lost profits or revenues, arising out of or in any way connected with your use of the Website or any Content, whether such damages are based upon breach of warranty or tort, including negligence, even if you have been advised, knew or should have known of the possibility of such damages.

Changes to these Terms of Use
Adaptive Aerospace may modify these Terms of Use at any time. Your use of the Website and the Content will be governed by the applicable version of the Terms of Use at the time when you access the Website and the Content, as applicable.

Governing law and jurisdiction
These Terms of Use shall be governed and construed in accordance with the laws of England and Wales. Any legal suit, action, or proceeding arising out of these Terms of Use shall be subject to the exclusive jurisdiction of the English courts, except as provided under any Agreement.

Relationship of the Parties
Nothing contained in these Terms of Use shall be construed as creating any agency, partnership, joint venture, or other form of joint enterprise, employment, or fiduciary relationship between Adaptive Aerospace and you, and neither party shall have authority to contract for or bind the other party in any manner whatsoever.

Entire Agreement
These Terms of Use and any applicable Agreement together constitute the sole and entire agreement of the parties with respect to the subject matter contained herein, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter. In the event of any conflict between these Terms of Use and any applicable Agreement, the provisions of the applicable Agreement shall take precedence.

Waiver and Severability
No waiver by Adaptive Aerospace of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Adaptive Aerospace to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms of Use will continue in full force and effect.
